1. Agreement to Terms

These Terms of Service (“Terms”) are a legal agreement between you and Jade Digital Labs LLC, a Nevada limited liability company (“we,” “us,” or “our”). They govern your use of Autonomy Ledger, including our website, progressive web app, mobile applications, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility:

  • You must be at least 18 years old
  • You must provide accurate information when creating an account
  • You must have the legal capacity to enter into this agreement

2. Description of Service

Autonomy Ledger is a personal finance management tool that helps you budget, track expenses, manage debt, and plan for financial freedom through manual data entry. The Service includes:

  • Budget Management: Create and track monthly budgets
  • Expense Tracking: Record and categorize transactions
  • Debt Tracking: Monitor debts and calculate your Freedom Date using avalanche or snowball methods
  • Savings Goals: Set and track progress toward financial goals
  • Income Management: Track income sources and payment schedules
  • AI Analyst: Get AI-powered insights about your finances

The Service is available via web browser (including as a progressive web app) and mobile applications for iOS and Android.

Important: Manual Data Entry Only. Autonomy Ledger does NOT connect to your bank accounts, credit cards, or any financial institution. We do not use Plaid, Yodlee, or similar services. All financial data in the app is information you manually enter. We cannot verify this data against actual bank records because we have no access to them.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account information up to date
  • Maintain the security of your password
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized access

You may only create one account. Accounts are personal and non-transferable. Do not share your login credentials with anyone.

We may suspend or terminate accounts that are duplicates, fraudulent, or violate these Terms.

4. Subscription and Payment

Autonomy Ledger is a paid subscription service. By subscribing, you agree to the following:

Pricing:

  • $10.00 USD per month
  • Billed monthly in advance
  • Prices may change with 30 days' notice before your next billing cycle

Billing:

  • Your subscription begins when you complete payment
  • You will be charged automatically each month on your billing date
  • Payments are processed securely by Stripe
  • You are responsible for keeping your payment method current

Cancellation:

  • You may cancel your subscription at any time through Settings
  • Cancellation takes effect at the end of your current billing period
  • You retain full access to the Service until your paid period ends
  • After cancellation, your account becomes inactive but your data is retained for 90 days in case you resubscribe

No Refunds:

  • All subscription payments are non-refundable
  • When you subscribe, you pay for the upcoming month of service
  • If you cancel mid-month, you keep access until the period ends, but no partial refunds are issued
  • This applies to all payments including your first payment

Failed Payments:

  • If payment fails, we will attempt to charge your payment method again
  • After multiple failed attempts, your subscription may be suspended
  • You can update your payment method in Settings to restore access

5. Acceptable Use

You agree to use the Service only for lawful purposes. You will NOT:

  • Use the Service for any illegal purpose
  • Attempt to access other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Use bots, scrapers, or automated tools to access the Service
  • Attempt to circumvent security features
  • Upload malicious code or harmful content
  • Impersonate any person or entity
  • Use the Service to send spam
  • Violate any applicable laws or regulations

Violation of these rules may result in immediate termination of your account without refund.

6. Your Data

Ownership: You own all financial data and content you enter into the Service (“Your Data”). Your data belongs to you.

License: By using the Service, you grant us a limited license to store, process, and display Your Data solely to provide the Service to you. We will not use Your Data for any other purpose without your consent.

Accuracy: You are responsible for the accuracy of Your Data. The Service performs calculations based on what you enter. Inaccurate input produces inaccurate results.

Privacy: How we handle Your Data is described in our Privacy Policy.

Export: You can export Your Data from the Service at any time.

Deletion: You can delete your account and Your Data through Settings. See our Privacy Policy for data retention details.

7. AI Analyst

The Service includes an AI-powered feature that analyzes your financial data and provides insights. By using it, you acknowledge:

  • Third-Party AI: The AI Analyst is powered by Claude, developed by Anthropic. Your data is sent to Anthropic's API when you use this feature.
  • Not Financial Advice: AI-generated insights are for informational purposes only. They are NOT financial, investment, tax, or legal advice. Always consult qualified professionals for financial decisions.
  • No Guarantee of Accuracy: AI may produce inaccurate, incomplete, or inappropriate responses. Verify important information independently.
  • No Training: Your data is not used to train AI models.
  • Optional: You can use the core features of the Service without using the AI Analyst.
  • Availability: The AI feature may be unavailable due to technical issues or third-party service disruptions.
  • Usage Limits: To ensure service quality for all users, AI Analyst usage is subject to reasonable limits (currently 60 messages per day and 1,200 per month). These limits may be adjusted. If you reach a limit, it resets automatically at midnight (daily) or the 1st of the month (monthly).

8. Intellectual Property

Our Property: The Service, including its design, features, code, and content (excluding Your Data), is owned by Jade Digital Labs LLC and protected by copyright, trademark, and other laws.

Your License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes while your subscription is active.

Restrictions: You may not copy, modify, distribute, sell, or create derivative works from the Service without our written permission.

Trademarks: “Autonomy Ledger” and our logo are trademarks. Do not use them without permission.

Feedback: If you provide suggestions or feedback, you grant us the right to use it without compensation or attribution.

9. Third-Party Services

The Service relies on third-party providers:

  • Stripe: Payment processing
  • Anthropic: AI analysis
  • Supabase: Database services
  • Vercel: Web hosting
  • DigitalOcean: Server infrastructure
  • Resend: Email delivery
  • Sentry: Error monitoring and crash reporting

These services have their own terms and privacy policies. We are not responsible for their practices, availability, or any issues they cause.

10. Disclaimers

NOT FINANCIAL ADVICE

Autonomy Ledger is a budgeting and tracking tool. It is NOT a financial advisor, and nothing in the Service constitutes financial, investment, tax, or legal advice.

  • We do not recommend specific financial products or strategies
  • We do not guarantee any particular financial outcome
  • Projections (like your Freedom Date) are estimates based on data you enter
  • Always consult qualified professionals for financial decisions

SERVICE PROVIDED “AS IS”

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results from the Service will be accurate or reliable
  • Errors will be corrected
  • The Service will meet your specific needs

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Maximum Liability: Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months before the claim arose.
  • No Indirect Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or other intangible losses.
  • Data Loss: We are not liable for loss of Your Data. You are responsible for maintaining backups.
  • Third Parties: We are not liable for issues caused by third-party services.
  • Your Decisions: We are not liable for financial decisions you make based on information from the Service.

Some jurisdictions do not allow limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted.

12. Indemnification

You agree to indemnify and hold harmless Jade Digital Labs LLC and its owner from claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data

13. Account Termination

By You:

  • Cancel your subscription in Settings at any time
  • Delete your account through Settings or by contacting us
  • Cancellation takes effect at the end of your billing period

By Us:

We may suspend or terminate your account:

  • For violation of these Terms
  • For fraudulent or illegal activity
  • For non-payment
  • At our discretion with reasonable notice

Upon termination, your right to use the Service ends immediately. Sections of these Terms that should survive termination (ownership, disclaimers, liability limits, indemnification) will survive.

14. Dispute Resolution

Informal Resolution First: Before filing any legal claim, contact us at support@autonomyledger.com. We will try to resolve the dispute informally within 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and Jade Digital Labs LLC agree to resolve any claims relating to these Terms or the Service through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will take place in Clark County, Nevada, or remotely by videoconference if you prefer. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Class Action Waiver: You and we each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and we each waive any right to a jury trial and agree that neither party may bring claims as a plaintiff or class member in any purported class, collective, or representative proceeding.

Small Claims Exception: Either party may bring an individual action in small claims court in Clark County, Nevada if the claim qualifies.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@autonomyledger.com within 30 days of creating your account. If you opt out, the Governing Law and Jurisdiction provisions below will apply.

Governing Law: These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Jurisdiction: For disputes not subject to arbitration, any legal action must be brought in the state or federal courts located in Clark County, Nevada. You consent to the jurisdiction of these courts.

Time Limit: Any claim related to the Service must be filed within one (1) year after the claim arose, or it is permanently barred.

15. Changes to Terms

We may modify these Terms. When we do:

  • We will update the “Last updated” date above
  • For material changes, we will notify you by email at least 30 days before they take effect
  • Continued use after changes take effect means you accept the new Terms
  • If you disagree with changes, stop using the Service and cancel your subscription

16. General Provisions

Entire Agreement: These Terms and our Privacy Policy are the complete agreement between you and us regarding the Service.

Severability: If any provision is found unenforceable, the rest of these Terms remain in effect.

No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger or acquisition.

Questions about these Terms:
